Information from The McGraw-Hill Companies Publications Online (the "Database") is provided for the subscriber's internal use only. The subscriber may, in the ordinary course of business, distribute information, reports or other publications which utilize or display limited excerpts from the Database without prior written consent of the Database owner, The McGraw-Hill Companies, Inc. ("The McGraw-Hill Companies"). Except as expressly provided in this paragraph, however, the subscriber may not, and may not permit others, to make copies of the Database or any portion thereof, nor may the subscriber redistribute, lend, lease or rent the Database to any third party. The subscriber may not, and may not permit others, to copy, extract, summarize, distribute or otherwise use the Database or any portion thereof in any manner which competes with or substitutes for the distribution of the Database by Dialog's, the McGraw-Hill Companies. The subscriber shall include a credit to the Database of the McGraw-Hill Companies in connection with any use of any part of the Database outside the subscriber's company.

The Database may not be networked within the subscriber's organization without the prior written permission of The McGraw-Hill Companies. The Database may not be downloaded except that limited portions of McGraw-Hill Publications Online may be downloaded on a temporary basis (not to exceed eight (8) weeks) for internal use on an ad hoc (as opposed to systematic) basis. Any downloading of the Database outside of the restrictions in the preceding sentence is prohibited without the prior written permission of The McGraw-Hill Companies. The subscriber agrees to reproduce The McGraw-Hill Companies' copyright notice on any downloaded information. The subscriber acknowledges that its access to the Database may be discontinued at any time in the event that McGraw-Hill terminates its agreement with Dialog.

THE MCGRAW-HILL COMPANIES MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO RESULTS TO BE OBTAINED BY ANY PERSON OR ENTITY FROM USE OF THE DATABASE INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SUCH INFORMATION IS PROVIDED TO SUBSCRIBERS ON AN "AS IS" BASIS. IN NO EVENT SHALL THE McGRAW-HILL COMPANIES HAVE ANY LIABILITY FOR LOST PROFITS OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE DATABASE. A REFERENCE TO A COMPANY IN THE DATABASE IS NOT A RECOMMENDATION TO BUY, SELL OR HOLD ITS SECURITIES.

The subscriber agrees to indemnify, defend and hold harmless The McGraw-Hill Companies from any and all damages, liabilities, costs, charges, and expenses, including attorney's fees, arising out of any material breach of these terms and conditions by subscriber, including any use of the Database by a subscriber which is not expressly authorized under these terms and conditions. These terms and conditions are in addition to those included in the Dialog's Standard Service Agreement. In the case of any conflict between these terms and conditions and the Dialog's Standard Service Agreement, these terms and conditions shall prevail.
