Exclusive Use: All information, including displays, printouts, manuals and other related support materials ("Information"), in the database known as 'Teikoku Databank: Japanese Companies' ("Database") furnished by Teikoku Databank, Ltd. ("TDB") to Dialog and provided to Dialog customers (each, a "Customer") by Dialog pursuant to these Terms and Conditions and Dialog's Standard Service Agreement (the "Agreement") is licensed by TDB to Customer for Customer's internal use. None of the license to use the Information granted Customer hereby, the rights granted hereunder nor the Information may be transferred, distributed or transmitted in whole or in part to any third party. Customer agrees to indemnify, defend and hold TDB harmless from any claim or cause of action arising out of use of the Information by any third party who receives Information from Customer directly or indirectly. 2. Ownership Rights: Customer acknowledges that the Database and the Information (in whatever form or format) is the unique product of TDB's extensive gathering of information, the selection of certain information therefrom, and the rendition of such information into usable forms and formats, and is either copyrighted, trademarked, a trade secret of or otherwise proprietary to TDB. Customer also acknowledges that any threatened violation of TDB's proprietary rights would irreparably harm TDB in a manner not sufficiently remediable by money damages, and that therefore TDB has the right to seek injunctive relief to protect its proprietary rights as well as seek money damages. 3. Acknowledgments: Customer acknowledges (i) that the amount of the fees paid by it for subscription rights to the Information is a small portion of its overall costs or anticipated benefit of the project or task for which it plans to use the Information; (ii) that the price charged Dialog by TDB is based in part on TDB's expectation that Customers will bear the risk of any loss which might be incurred due to the reliance on the Information; (iii) that the type of information contained in the Database will contain a degree of error; and (iv) that every business decision represents to some degree an assumption of risk and TDB does not and cannot assume Customer's risk. THEREFORE, CUSTOMER, AS A CONDITION OF ITS RECEIPT OF THE INFORMATION, ACKNOWLEDGES THAT IT IS RESPONSIBLE FOR DETERMINING THAT THE INFORMATION IS ADEQUATE OR SUFFICIENTLY ACCURATE FOR ANY OR ALL OF CUSTOMER'S INTENDED PURPOSES. NEITHER TDB NOR Dialog IS RESPONSIBLE FOR ANY INJURY OR LOSS SUFFERED BY CUSTOMER OR ANY THIRD PARTY ARISING OUT OF OR CAUSED IN WHOLE OR IN PART BY TDB'S OR Dialog'S ACTS OR OMISSIONS IN PROCURING, COMPILING, COLLECTING, INTERPRETING, REPORTING, TRANSLATING, COMMUNICATING OR DELIVERING THE INFORMATION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH INJURY OR LOSS. IN NO EVENT WILL TDB OR Dialog BE LIABLE FOR COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS, SERVICES OR INFORMATION, LOST PROFITS, OR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES ARISING IN ANY WAY OUT OF CUSTOMER'S USE OF THE DATABASE, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, EVEN IF CUSTOMER HAS ADVISED TDB OR Dialog OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY PROVIDED HEREIN. CUSTOMER ACKNOWLEDGES THAT NEITHER TDB NOR Dialog MAKES, AND COULD NOT MAKE FOR THE FEES CHARGED HEREUNDER, ANY GUARANTEE OR WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION, AND TDB AND Dialog DISCLAIM LIABILITY FOR ANY INACCURACIES IN DATA OBTAINED FROM THIRD PARTIES. 4. Limitation on Liability: NEITHER TDB NOR Dialog WILL IN ANY EVENT BE LIABLE TO CUSTOMER OR ANY THIRD PARTIES FOR DAMAGES, REGARDLESS OF THE CAUSE OR FORM OF ACTION, FOR ANY AMOUNT IN EXCESS OF THE FEES PAID HEREUNDER BY CUSTOMER DURING THE PREVIOUS TWELVE-MONTH PERIOD, AND CUSTOMER AGREES THAT IT WILL NOT BRING ACTION AGAINST TDB OR Dialog FOR ANY GREATER AMOUNTS OR SEEK PUNITIVE DAMAGES AGAINST THEM. 5. Termination of License: Customer understands that the Database is provided to Customer pursuant to a contract between TDB and Dialog and both TDB and Dialog have certain rights under that contract which could result in the termination of Customer's right to receive the Information without notice to Customer. Customer is not a beneficiary of the contract between TDB and Dialog. Customer further understands that the license granted to it hereunder will be subject to termination if Customer breaches any of these Terms and Conditions. 6. Miscellaneous: These Terms and Conditions shall supplement and be in addition to those found in the Agreement. TDB's remedies as set forth in the Agreement and herein are not exclusive and are in addition to any and all other remedies available at law or in equity, none of which shall be deemed as waived by virtue of TDB's exercise of any other remedy.
