New Zealand Newspapers contains the complete text of 19 of New Zealand's most important newspapers, including the three key newspapers The Press, The Dominion Post, and the Sunday Star-Times. All three newspapers are published by Fairfax New Zealand Limited, New Zealand's largest newspaper publishing company.

The Press is a daily (Monday-Saturday) newspaper published in Christchurch. It has the largest circulation and most comprehensive coverage of news in the South Island of New Zealand.

The Dominion Post is a daily (Monday-Saturday) newspaper published in Wellington. It covers major news in the Wellington region as well as in the lower half of the North Island and Auckland through staff located in Palmerston North, Masterton, Hastings and Auckland. The Dominion Post was judged News Zealand's best daily newspaper in the 2002 Quantas Media Awards.

The Sunday Star-Times is produced in Auckland and is New Zealand's leading Sunday newspaper.

  /LP, /TX  MINORITY shareholders seem certain to resist a takeover offer for Cedenco 
    Foods by the American majority owner. 
         California-based SK Foods International said yesterday it would offer 205 
    cents a share for the 41 per cent of the Gisborne-based pumpkin and sweet 
    corn growing and processing company that it does not already own. 
     
  /TX       Minority shareholders called the offer price opportunist and an opening 
    bid. The company's net tangible asset backing is about 211c a share, 
    and it has low debt. 
         "It is too cheap and it will be hard yakka for them at that price," one 
    longstanding and significant shareholder said in Christchurch yesterday. 
    "We should keep some of it in New Zealand hands." 
        Cedenco shares last sold at 170c and did not trade yesterday. They had 
    been about the 200c mark before the directors said in early February that 
    there would be no dividends for at least three years, as they focused on 
    pursuing growth opportunities. 
         James Smalley, a client adviser at Hamilton Hindin Greene in Christchurch, 
    said yesterday that Cedenco shares had been trading at 220c before announcement 
    of record earnings of nearly 28c a share in the year to September 30, 2001. 
    Earnings in the 2002 year were 26c. "That is another 54c a share of value added 
    to the company in that time but the shareholders have seen nothing. It makes the 
    offer opportunist." 
         Like Shotover Jet last year, when a low takeover bid by controlling 
    shareholder Ngai Tahu was resisted, Cedenco has a strong group of investors 
    in the top 20 on the register. 
         A large-scale Gisborne lettuce grower, Murray McPhail, has built up a 
    10.3 per cent holding, including shares at above the offer price, and on 
    his own would be able to prevent a full takeover by SK Foods, which needs a 
    90 per cent ownership threshold before it could compulsorily acquire the 
    balance of the shares. Mr McPhail said the takeover notice came as a 
    surprise. "We haven't got an opinion at this time, and are considering the 
    options." 
         Other shareholders say he had built up his stake with the objective of 
    stopping SK Foods getting full ownership cheaply. 
         In its notice of takeover, SK Foods said no minimum acceptance level 
    would be set. 
         "They just want to pick up as many as they can," Mr Smalley said. SK 
    Foods had been buying shares in the market about 170c, he said. 
         In February, Cedenco Foods said the 2003 year profit was likely to be 
    lower than last year's $4.05 million, but Mr Smalley said the breaking of 
    the drought in Australia would now be helping the tomato-growing business 
    in Victoria, in which Cedenco and SK are joint-venture partners. 
         SK Foods bought its controlling stake from Brierley Investments at 
    152c a share in mid 2001, and yesterday managing director Scott Salyer said 
    SK Foods had driven material change at Cedenco, bringing about a 
    significant increase in shareholder value.
