File Description [top]

The M&A Filings database contains detailed abstracts of every original and amended merger and acquisition document released by the Securities and Exchange Commission since early 1985 through June 2000. Copies of the full text of each filing or exhibit reported in the database are available from Prentice-Hall Legal and Financial Services.

M&A FILINGS provides users with an array of M&A transaction information on publicly traded companies, including: company name; SIC code; state of incorporation; state of headquarters; ticker symbol; Cusip number; filing type, amendment number; date of filing; reporting person, name, country, city and state; approximate deal value; synopsis sentence for the deal; expiration and withdrawal information; dealer manager; depositary; information agent; purpose of the transaction; summary abstract of the filing, including description of transaction, persons retained, employed, or compensated; material filed as exhibits; and keywords associated with each filing.

Sources used to prepare the abstracts are the actual merger and acquisition filings released by the Securities and Exchange Commission. Included is every original and amended filing since early 1985 for the following document types:

  • 13d (5% purchase)
  • 14d-1 (tender offer),
  • 14d-9 (management response to a tender offer),
  • 13e-3 (leveraged buy-out),
  • 13e-4 (issuer tender offer)
