	`On its formation, Portugal Telecom transferred its TV Cabo Portugal (cable`
	`TV), Paginas Amarelas (yellow pages, directory publishing), and Telepac`
	`Comunicacoes Interactivas SA (latterly renamed PTM.com, an Internet`
	`service provider) into PT Multimedia. PT Investimentos sold its 23.44%`
	`stake in PT Multimedia in an initial public offering (IPO) in November`
	`1999.`
	`During the fourth quarter of 2000, PT Multimedia announced a capital`
	`increase, amounting to euro508 million, reserved for existing shareholders`
	`at euro6 per share. After the capital increase, PT Multimedia launched a`
	`tender offer on the Portuguese stock market, to acquire the 31.91% of`
	`PTM.com it did not already hold. The transaction was concluded in January`
	`2000 through the exchange of one PT Multimedia share for every 4.5 PTM.com`
	`shares. The shares of PTM.com had been floated in June 2000 in an attempt`
	`to create greater synergies between PTM.com's portal services (SAPO in`
	`Portugal and Zip.net in Brazil) and the group's wireless businesses. The`
	`reversal in strategy was prompted by a November 2000 agreement by Portugal`
	`Telecom to acquire the Portuguese media company Grupo Lusomundo, operator`
	`of one of the largest broadcasting and print businesses in the country.`
	`Portugal Telecom Inovacao SA (100%-owned by Portugal Telecom) has assumed`
	`responsibility for research and development activities that were`
	`previously the domain of Centro de Estudos de Telecomunicacoes and`
	`INESCTEL. INESCTEL is to be divested in the near future. PT Inovacao's`
	`brief is to develop innovative solutions in the areas of information`
	`technology (IT), and network operations, such as the development of`
	`prepaid mobile services products MIMO and Spot (TMN) and Baby (TELESP`
	`Celular).`
	`PT Moveis was established in May 2000 as a sub-holding company for the`
	`group's mobile communications businesses. PT Moveis centralises all of`
	`the group's domestic and international assets and interests in mobile`
	`communications companies, including: Telecomunicacoes Moveis Nacionais`
	`(TMN) in Portugal; TELESP Celular, Celular CRT, Global Telecom, and CETERP`
	`Celular in Brazil; Medi Telecom in Morocco; and, Mascom Wireless in`
	`Botswana.`
	`Portugal Telecom has mooted the possibility of floating PT Moveis at some`
	`point. Initially, it seemed that a floatation could be achieved by the`
	`end of 2000. However, nothing further has been reported, possibly due to`
	`the late-2000 announcement that Portugal Telecom and Telefonica of Spain`
	`would create a joint venture to own and operate their Brazilian business`
	`interests from 2002.`
