/TX   In 1992, Bristol-Myers Squibb was the world`s number three drug
company, behind Merck (USA) and Glaxo (UK), according to IMS. It
develops, manufactures and markets ethical drugs, medical
devices, OTC healthcare products (including nutritionals), and
     consumer products.

1992 was not a good year for drug companies and Bristol-Myers
Squibb was badly affected, with shares diving from $98 in early
1992 to $50 by the end of the year. Price rises only in line with
inflation at 4%; reductions in wholesalers` inventories; and
uncertainties about reimbursement policies in Europe and the
situation in the US drug market all took their toll in 1992. BMS
also had heavy marketing costs as a result of new drug launches:
the antiviral Videx (didanosine) and the antibiotic Cefzil
(cefprozil); the cardiovascular agents Pravachol (pravastatin)
and Monopril (fosinopril); and the nasal spray analgesic Stadol
     NS.

In October 1992, Bristol-Myers Squibb announced plans to reduce
its workforce worldwide by 6% (2,200), from the first quarter of
1993. It also intends to consolidate some of its operations by
closing down or shrinking 15 drug plants over the next two years.
However, brokers consider that the company is still financially
strong, although growth is likely to slow down considerably over
     the next few years.

Further restructuring was announced in December 1993, when BMS
announced moves which would result in the elimination of 5,000
jobs over the next two years.  The company also announced that
its US sales force would be organized into 12 regional business
units "supported by a strengthened managed care operation and a
marketing staff with a structure which reflects the changing
status of health care buyers in the United States."

In the current climate, analysts think major reorganization may
be on the cards for Bristol-Myers Squibb. They have commented in
the past that the consumer goods units were holding back profit
growth: operating margins for consumer products are 17% while the
rest of the company`s products average 28%. Some restructuring
has already taken place: in 1992, Drackett, Bristol-Myers
Squibb`s household product unit, was sold to SC Johnson Wax (USA)
for $1.15 billion. Drackett had sales of $65 million in 1992.
