    WORD COUNT: 350

    TEXT:
DL=,/LP,/TX  LONDON (AP) - British cable TV operator Telewest Communications
PLC is close to acquiring media company Flextech PLC in an
all-share deal worth about 2.0 billion pounds (dlrs 3.2 billion).

Flextech's directors said Friday that they expected to accept
Telewest's offer of 3.78 of its own shares for every share in
    Flextech.

/TX     The deal would combine Telewest's broadband cable TV service
with Flextech's interactive television channels to provide a
``turbocharged" data transmission service for homes and mobile
phones, Telewest spokesman Stephen Powers said.
The two companies announced on Dec. 6 that they were negotiating
a merger, and they detailed the planned deal in a statement on
Friday. They hope to complete the project by the end of next month.

``There are a lot of ends to be tied off, and unfortunately that
can't happen overnight," Powers said. Legal technicalities
pertaining to share ownership were among the details still to be
    resolved.

Liberty Media International, owned by AT-and-T Corp., has a 36.6
percent stake in Flextech, and it has agreed in principle to accept
Telewest's offer so long as Telewest makes it by Jan. 31.

Under the deal, Telewest shareholders would own 80 percent of
the combined company, with Flextech owning the remaining 20
    percent.

Telewest shareholders still must approve the offer. Microsoft
Corp., MediaOne Group Inc. and Liberty Media, which together hold
51.3 percent of Telewest's shares, are backing the deal.

The offer, which is based on Telewest's closing price on
Thursday of 340 pence (dlrs 5.44) a share, values every Flextech
share at 1,285.2 pence (dlrs 20.56).

Telewest stock closed 1.6 percent lower in trading Friday, at
334.5 pence. Flextech shares dropped 1.6 percent to finish at dlrs
    11.95 (dlrs 19.12) per share.

British competitors in the field of interactive TV include a
joint venture between British Telecommunications PLC and Rupert
Murdoch's British Sky Broadcasting Group. Internet service
providers like America Online of the United States are also
    expected to enter the market.

/TI   Bush Watches War Games, Says World Dangers Justify Military Plan
  AU=  BY: TOM RAUM
DL=,PR=  DATELINE: FORT IRWIN, Calif.  PRIORITY: URGENT  WORD COUNT: 1007
  PD=,PY=  DATE: February 7, 1990  00:17EST

/LP,/TX  President  Bush  told  U.S.  troops  taking  part in war games Tuesday that
political   proposals   by   Soviet  President  Mikhail  S.  Gorbachev  are
encouraging  but that America must not let changes in Eastern Europe ''lull
us into a sense of complacency.'

The  president,  getting  a  first-hand  look  at  U.S.  forces  in action,
declared:  ''Military  challenges  to democracy persist in every hemisphere
and America must always be prepared to fight for freedom and security.''

/TX  Critics,  especially  congressional Democrats, contend that Bush's military
budget ignores the dismantling of the Communist empire.

The  president  defended  his  plan to make military cuts in select areas -
such as bases - but to spend more on strategic weapons as he began a three-
day  trip  combining  visits to defense installations with Republican fund-
    raising.

A  continent  away,  the  Democratic  chairman  of the House Armed Services
Committee  kept  up  the  pressure for changes, saying the administration's
$292.1  billion  defense budget, with a continued emphasis on big strategic
programs  such  as  long-range missiles, fails ''to match the new political
    realities at home or abroad.''

''This  administration's  approach  reflects old thinking rather than these
new  realities,''  Rep.  Les  Aspin  of  Wisconsin  said at a congressional
    hearing in Washington.
